UMB’s Corporate Legal department serves many lines of business throughout our footprint by providing legal education, counsel and advice. They facilitate the needs of their clients (UMB Financial Corporation, its subsidiaries and its shareholders) through subject matter expertise, as well as relationships with outside counsel, where necessary.
This Paralegal is responsible for providing support to UMB’s Chief Legal Officer and Corporate Secretary.
How you will spend your time:
Prepares, reviews, proofs, and edits contracts, letters, affidavits, and other legal documents.
Acts as a liaison between corporate attorneys, outside counsel and company’s lines of business.
Assists with projects as directed by corporate attorneys (i.e., conducts research, timeline management).
Maintains legal files and databases.
Schedules meetings, coordinates correspondence, and performs other administrative duties to support the Chief Legal Officer and Chief of Staff.
Create and/or maintain entity books and otherwise coordinate naming of officers and directors and support regular secretary of state filings (or equivalent).
Manage and/or provide support for key governance activities including proxy materials and related filings and documents, director and officer questionnaires, proxy cards, shareholder meeting scripts and reporting, insider trading/blackout processes and corporate authorizations.
Manage and distribute electronic committee and board agendas, books, minutes, unanimous consents, and the like.
Assist with aspects of other SEC filings, including Forms 3, 4 and 5, 8K, 10Q and 10K filings
Performs other duties as assigned.

High School Diploma or equivalent
6 years of relevant legal experience
Working knowledge of legal concepts, terminology, and processes
Experience drafting, reviewing and editing legal documents
Outstanding verbal and written communication skills
Outstanding organizational and critical thinking skills
Highly skilled in MS Office (Word, Power Point, Excel, Outlook, etc.)
Demonstrates independent thinking and good judgment
Demonstrates ability to multitask daily
Bonus points if you have:
Paralegal certification or associate degree
Experience with a law firm or with in-house counsel with a financial institution
Heavy transactional experience, including negotiating and drafting agreements under the supervision of attorneys.
Experience working on corporate governance matters and/or SEC filing
Strategic project management

Compensation Range:
Minimum: $51,480.00 - Maximum: $119,200.00The posted compensation range on this listing represents UMB’s standard for this role, but the actual compensation may vary by geographic location, experience level, and other job-related factors.
